These Terms and Conditions are a legally binding contract between you and CSMN Operations, LLC D/B/A TN Detox (“TN Detox,” “we,” or “us”) regarding your use of TN Detox’s website and online services (the “Service”).

PLEASE READ THE FOLLOWING TERMS CAREFULLY. BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING THE TN Detox PRIVACY POLICY (TOGETHER, THE “TERMS”). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Service.

These Terms provide that all disputes between you and TN Detox with respect to your use of the Service will be resolved by BINDING ARBITRATION, to the fullest extent permitted under applicable law. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under this contract, except for matters that may be taken to small claims court, to the fullest extent permitted under applicable law. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury, and your claims cannot be brought as a class action, to the fullest extent permitted under applicable law. Please review Section 21 (“Dispute Resolution and Arbitration”) for the details regarding your agreement to arbitrate any disputes with TN Detox.

Service Overview

Our Service aims to inform and communicate about TN Detox’s substance abuse, mental health treatments, and associated career opportunities. You are solely responsible for any content you upload or transmit through the Service (“Communication Data”).

Eligibility

To use the Service, you must be at least 18 years old and have not been previously suspended or removed. Your use must comply with all applicable laws and our Privacy Policy.

    Registration

    When registering, you’ll provide us with your name, email, and phone number. Keep your profile information accurate and up-to-date.

    Location-Based Services

    Some features may require access to your location. Enabling these features allows us to tailor your experience based on your location.

    Licenses

    TN Detox grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use. You must not infringe any third-party rights or modify the Service.

    Consent to Communications

    By providing contact information and using the Service, you agree to receive communications from TN Detox. You may opt out of marketing emails and SMS texts.

    Prohibited Conduct

    You agree not to engage in any illegal activities or any conduct that may harm others or TN Detox’s reputation.

    Third-Party Services & Links

    We are not responsible for third-party services or linked websites.

    Termination and Modification

    You may terminate your account by contacting us. TN Detox may suspend or terminate your access or modify the Service at any time. Upon termination, TN Detox may delete any data submitted through the Service.

    TN Detox Privacy Policy

    Carefully review the TN Detox Privacy Policy at https://tndetox.com/privacy-policy for details on how we collect, use, store, and disclose your personal information. The Privacy Policy is incorporated into and forms part of these Terms by reference. By using our services, you explicitly consent to the handling of your personal information (including sharing data with third-party providers) as outlined in the TN Detox Privacy Policy at https://tndetox.com/privacy-policy.

    Additional Terms

    Your use of the Service is subject to any additional terms, policies, rules, or guidelines applicable to the Service or specific features of the Service that we may post or link to the Service (the “Additional Terms”), such as informed consent forms, if applicable, or rules applicable to specific features or content on the Service, subject to Section 11. All Additional Terms are incorporated into and form part of these Terms by reference.

    Modifications to Terms

    We reserve the right to change these Terms at our discretion on a going-forward basis at any time. Please periodically review these Terms for updates. We will notify you of any material changes to these Terms by email at the address provided in your user profile and/or through an in-Service notification or on our website. Material modifications will become effective upon your acceptance of the modified Terms or upon your continued use of the Service after we send or post our notification of the changes, whichever comes first. Other modifications take effect upon publication. Disputes arising under these Terms will be resolved in accordance with the version of these Terms in effect at the time the dispute arose.

    Ownership and Proprietary Rights

    TN Detox owns and operates the Service. All elements of the Service, including visual interfaces, graphics, design, compilation, information, data, computer code, products, software, and services (collectively, “Materials”), are protected by intellectual property and other laws. The Materials in the Service are the property of TN Detox or our third-party licensors. You may not use the Materials unless expressly authorized by TN Detox. TN Detox retains all rights to the Materials not expressly granted in these Terms.

    Subcontractors

    You consent to TN Detox engaging third parties (including partners and affiliates) to perform, provide, or support the performance or provision of all or any part of the Service or the TN Detox website.

    Feedback

    If you choose to provide input or suggestions regarding your experience with the Services (“Feedback”), you grant TN Detox an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use such Feedback for any purpose, including improving the Service and creating other products and services.

    Indemnity

    To the fullest extent permitted by applicable law, you are responsible for your use of the Service, and you will defend and indemnify TN Detox and its officers, directors, employees, consultants, affiliates, partners, subsidiaries, and agents (collectively, the “TN Detox Entities”) from and against any claim, liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising from or connected to: (a) your access to, use of, or alleged use of the Service; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third-party right, including intellectual property rights or privacy rights; (d) any dispute between you and any third party; and (e) any fraud, intentional misconduct, criminal acts, gross negligence, or negligence committed by you.     Notice of Intent to Arbitrate

    If you plan to seek arbitration, you must first send a written notice of the dispute to the other party via certified U.S. Mail, Federal Express (signature required), or email if no current physical address is available. TN Detox’s address for notice is: TN Detox, Attention: Legal Department, 244 Jackson Meadows Dr Hermitage, TN 37076. The notice must detail the nature and basis of the claim or dispute and specify the relief sought. Both parties will attempt to resolve the dispute directly within 30 days of receiving the notice. If a resolution is not reached, either party may begin arbitration proceedings. Settlement offers made by either party will not be disclosed to the arbitrator until a final decision and award is made.

    Fees

    If you initiate arbitration, TN Detox will cover the filing fee unless your claim exceeds $10,000, in which case fees will be determined by the AAA Rules. Arbitration hearings will take place at a mutually agreed upon location in Eagle County, Colorado. If the claim is for $10,000 or less, you can choose the manner in which the arbitration will be conducted: (i) based on document submissions; (ii) via a non-appearance-based telephone hearing; or (iii) through an in-person hearing in accordance with the AAA Rules in the county of your billing address. If the arbitrator deems your claim frivolous or improper, all fees will be governed by the AAA Rules, and you will reimburse TN Detox for any fees it has paid on your behalf. The arbitrator must provide a written decision that explains their findings and conclusions. Rulings on fees or expenses can be made at any time during the proceedings, and either party can request such rulings within 14 days of the arbitrator’s decision on the merits.

    No Class Actions

    To the extent allowed by law, both you and TN Detox agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. The arbitrator cannot consolidate more than one person’s claims and cannot preside over any form of class or representative proceeding unless both parties agree otherwise.

    Modifications to Arbitration Provision

    If TN Detox makes future changes to this arbitration provision, excluding changes to TN Detox’s address for notice, you can reject the change by sending written notice within 30 days to TN Detox’s address for notice, which will result in the termination of your account with TN Detox. The arbitration provision in effect before the change you rejected will remain in force.

    Opt-Out Procedure

    You can reject this Arbitration Agreement by mailing a written opt-out notice within 30 days of your first use of the Service. The notice must be sent to TN Detox, Attention: Legal Department, 244 Jackson Meadows Dr Hermitage, TN 37076. It must state your disagreement with the arbitration agreement and include your name, address, phone number, and email address(es) associated with the Service. Your signature is required for the opt-out notice to be valid. Opting out of the arbitration agreement does not affect the rest of these Terms, and TN Detox will also not be bound by the arbitration provisions.

    Enforceability

    If any part of Section 21 is deemed unenforceable, the entire Section 21 (except Section 21(i)) will be null and void. In this case, the exclusive jurisdiction and venue described in Section 19 will govern any action related to these Terms.

    Claims

    To the extent allowed by law, you may not bring any action related to these Terms more than one year after the cause of action accrues. This period will not be extended for any reason.

    Electronic Communications Consent

    By using the Service, you agree to receive specific electronic communications from us, as detailed in our Privacy Policy. Review our Privacy Policy to understand our electronic communication practices. You acknowledge that electronic communications we send to you fulfill legal communication requirements, including the requirement for written format. By giving us your mobile number, you consent to receiving text messages for account verification, notifications, and other Service-related purposes. You are responsible for any standard messaging, data, and other fees charged by your carrier in addition to any fees TN Detox may charge for text or multimedia messaging. We may send and receive text messages through cellular operators or other networks, with varying reliability levels. We are not liable for the timeliness or final delivery of text messages, as this is the responsibility of cellular operators or other networks. Nonetheless, we will handle your mobile number in compliance with our Privacy Policy.

    No Doctor-Patient Relationship

    Using the Service, including communication through our website or email, does not establish a doctor-patient relationship. The Service does not offer medical advice, and we do not address specific medical conditions through the Service. We cannot guarantee the privacy of such information if you share it. DO NOT SEND MEDICAL INFORMATION THROUGH EMAIL OR THE SERVICE.

    Export Restrictions

    You cannot use the Service if you are subject to U.S. sanctions or sanctions consistent with U.S. law from the country where you are using the Services. You must adhere to all U.S. or other applicable export and re-export restrictions related to goods, software, technology, and services.

    Consumer Protection Notice

    If you are a consumer, please be aware that the limitations in these Terms are intended to be as broad and inclusive as permitted by the laws of your state of residence.

    California Residents 

    Under California Civil Code Section 1789.3, if you are a California resident, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by phone at (800) 952-5210 to resolve a complaint about the Service or obtain additional information about using the Service.
